REAL ESTATE

Legal counsel for complex real estate matters, from initial offer through closing and beyond.

Representation of developers, lenders, investors, businesses, family offices, nonprofit organizations, and private individuals in commercial and residential real estate matters throughout Florida.

Legal counsel and strategic guidance throughout each phase of a real estate transaction, from the initial offer through closing and post-closing matters.

Real estate transactions are a cornerstone of our practice. Parlade Law Firm, P.A. (“PLF”) represents developers, lenders, investors, business owners, family offices, nonprofit organizations, and private individuals in complex commercial and residential real estate transactions throughout Florida.

Our commercial real estate practice includes acquisitions, dispositions, financing, leasing, development, and operational matters involving office, retail, industrial, mixed-use, and multifamily properties. We advise local, national, and international investors on transaction structuring, documentation, diligence, closing, and post-closing matters throughout the life cycle of a real estate investment.

We also represent individuals and families in residential transactions. Whether purchasing a first home, acquiring a luxury residence, refinancing, or transferring property as part of an estate plan, our clients receive personal attention and practical legal guidance tailored to the transaction.

Our real estate services include:

  • Reviewing and negotiating letters of intent and purchase and sale agreements
  • Coordinating with brokers, lenders, title companies, surveyors, and other transaction advisors
  • Structuring transactions, including entity and ownership considerations
  • Reviewing title commitments, title exceptions, surveys, and other due-diligence materials
  • Reviewing permits, code-compliance matters, violations, and regulatory issues
  • Preparing, negotiating, and reviewing commercial and residential leases
  • Preparing and negotiating loan documents, guaranties, and secured-financing instruments
  • Preparing and negotiating estoppels, subordination agreements, and SNDAs
  • Preparing and negotiating easements, covenants, declarations, and restrictions
  • Addressing title defects and curative matters
  • Preparing and reviewing closing documents and settlement statements
  • Coordinating closings, including title insurance, escrow, and settlement services
  • Coordinating potentially tax-deferred exchanges under Section 1031 with clients’ tax advisors and qualified intermediaries
  • Representing fiduciaries, trustees, and estates in real-property transactions
  • Providing ongoing counsel to clients with residential and commercial real estate portfolios

A successful transaction often begins with a carefully negotiated contract.

The terms negotiated at the outset can materially affect the course of a transaction. PLF works with clients to identify legal and business risks, protect their interests, and prepare agreements that reflect their immediate objectives and long-term goals.

Whether negotiating the acquisition of commercial property, a development agreement, a business lease, or the purchase of a residence, we advise clients concerning material provisions such as purchase price, deposits, inspection and due-diligence rights, financing contingencies, closing conditions, default remedies, indemnification, representations and warranties, post-closing obligations, and the allocation of costs and risks.

Our goal is to facilitate an effective closing while addressing legal exposure and the client’s longer-term objectives.

Integrated legal, title, and closing services for real estate transactions.

As an authorized title insurance agent of Old Republic National Title Insurance Company, PLF provides legal representation and title and closing services within the same firm.

Title insurance may protect property owners and lenders against financial loss arising from certain covered title defects, including some liens, recording errors, boundary issues, ownership claims, fraud, and other matters affecting title. Coverage is governed exclusively by the terms, conditions, exceptions, and exclusions of the applicable title insurance policy.

Our attorneys conduct title examinations, address title defects, coordinate with lenders, surveyors, and other transaction participants, and assist clients from contract through closing.

Why choose an attorney-managed closing? An attorney-managed closing allows clients to receive legal advice concerning the transaction while also obtaining title, escrow, settlement, and closing services through the same firm. This structure can facilitate communication and coordination among the parties while simultaneously providing legal counsel and insight.
